These Terms of Service ("Terms") govern your access to and use of Acme Cloud's infrastructure platform and related services (the "Service"), provided by Acme Cloud, Inc. ("Acme", "we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the Service you confirm that you are at least 18 years old, or the age of majority in your jurisdiction, and that you have the authority to bind the entity on whose behalf you are acting, if any. If you do not agree to these Terms, you must not use the Service.
2. Description of Service
Acme Cloud provides on-demand compute, storage, and networking infrastructure accessible via API, command-line tools, and a web console. We may add, modify, or discontinue features of the Service at our discretion, with reasonable notice for material changes affecting production workloads.
3. Account Registration
- You must provide accurate, current, and complete information when creating an account.
- You are responsible for safeguarding your account credentials and API keys.
- You must notify us promptly at security@acmecloud.example of any unauthorized use of your account.
- Accounts may not be shared across unrelated legal entities without a separate agreement.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation.
- Transmit malware, conduct denial-of-service attacks, or probe for vulnerabilities in systems you do not own.
- Infringe the intellectual property or privacy rights of any third party.
- Resell the Service without our prior written consent.
- Circumvent usage limits, rate limits, or billing mechanisms.
We reserve the right to suspend or terminate accounts that violate this section, with or without notice depending on severity.
5. Fees and Billing

Fees are billed monthly in arrears based on metered usage. Invoices are due within 15 days of issuance. Late payments may result in service suspension after a 10-day grace period. All fees are exclusive of applicable taxes, which are your responsibility unless you provide a valid exemption certificate.
6. Intellectual Property
The Service, including all software, documentation, and branding, is owned by Acme Cloud or its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or logos. You retain all rights to content and data you upload to the Service ("Customer Data"), and you grant us a limited license to host, process, and transmit Customer Data solely to provide the Service.
7. Service Level and Support
We target 99.9% monthly uptime for production-tier resources, excluding scheduled maintenance windows communicated at least 48 hours in advance. Service credits for downtime below this target are described in our separate SLA policy. Support response times vary by plan tier and are detailed in our support documentation.
8. Termination
Either party may terminate this agreement for convenience with 30 days' written notice. We may suspend or terminate your access immediately if you materially breach these Terms, including violations of Section 4 (Acceptable Use), or if required by law. Upon termination, your right to use the Service ceases immediately, and we will retain Customer Data for 30 days to permit export before deletion.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACME CLOUD'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
11. Indemnification
You agree to indemnify and hold harmless Acme Cloud from any claims, damages, or expenses arising from your use of the Service in violation of these Terms or applicable law, or from Customer Data you upload.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in Wilmington, Delaware, except that either party may seek injunctive relief in court for intellectual property infringement.
13. Changes to These Terms
We may modify these Terms from time to time. We will notify you of material changes via email or an in-product notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
